Legal / Version 1.1
Terms & Conditions
These terms govern the supply of VentureHack agency services. Clients accept them when creating an account; the accepted version is stored in the client dashboard.
01
Parties and scope
These terms apply between VentureHack ('we', 'us') and the client organisation named on the account ('you'). They cover all growth hacking, digital marketing, design, build and investment support services delivered through the VentureHack platform.
Individual pieces of work are defined by a brief you submit and one or more bids you approve. Where a bid conflicts with these terms, these terms take precedence unless we agree otherwise in writing.
02
Hours and blocks
Services are purchased as blocks of delivery hours. The minimum opening purchase is 100 hours at £10,000 plus VAT. Additional capacity is purchased in blocks of 50 hours.
Hours are drawn down against approved projects and may include VentureHack project lead hours where these form part of the agreed project plan.
All hours logged carry a date, description and supporting evidence, and are visible in your dashboard. A monthly breakdown is available as a PDF within your account.
03
Fees, invoicing and payment
An invoice is generated when you approve a specialist proposal and the project kicks off. The invoice is stored in your account and emailed to the address on your account.
Creating an account and submitting a brief is free. You are not committed to purchase until you approve a proposal.
Payment is due within 7 days of the invoice date. We may pause delivery on overdue accounts and may charge statutory interest on late payment.
All fees are exclusive of VAT, which is charged at the prevailing rate.
04
Advertising and third-party costs
Advertising spend is separate from agency fees. Media budgets are agreed with you in advance based on your stated budget and are either paid directly by you or recharged at cost.
Any third-party tools, data sources or licences required for delivery are flagged for your approval before purchase.
05
Client responsibilities and access
You will provide timely access to the resources delivery requires, including your website, hosting, analytics, advertising accounts, social channels, CRM and brand assets.
You will provide a single point of contact with authority to approve work, and will respond to approval requests promptly. Delays in access or approvals may affect timelines and consume allocated hours.
You confirm you have the rights to any materials you supply to us.
06
Briefs, bids and approvals
Specialist bids are reviewed by VentureHack before release to you. You may ask questions, request a meeting, make a counter proposal, approve a bid or decline it.
You may approve more than one bid against a single brief. Delivery begins after approval and a kick-off meeting is scheduled.
07
Communication through the platform
All contact between you, VentureHack and specialists is conducted through the platform so that decisions and hours are recorded. Specialist email addresses are not published.
08
Intellectual property
On payment in full of the relevant invoices, ownership of deliverables created specifically for you transfers to you.
We retain ownership of our pre-existing methods, templates, tooling and know-how, including anything of general application developed during delivery.
09
Confidentiality and data
Each party will keep the other's confidential information secure and use it only to deliver or receive the services.
Each party will comply with applicable data protection law. Where we process personal data on your behalf we do so on your documented instructions.
10
No guarantee of results or investment
Growth targets, forecasts and target returns stated in a brief or bid are objectives, not guarantees. Market conditions and factors outside our control affect outcomes.
Investment support, including introductions to our UK and European VC network, does not constitute a guarantee of investment and is not regulated financial advice.
11
Liability
Neither party excludes liability where it cannot lawfully do so. Subject to that, our total liability arising from the services is limited to the fees paid by you in the 12 months preceding the claim.
We are not liable for indirect or consequential loss, loss of profit, revenue or anticipated savings.
12
Term, pausing and termination
Either party may terminate with 30 days' written notice. On termination we will invoice for hours logged up to the termination date.
Unused purchased hours remain available for 12 months from the date of purchase unless otherwise agreed.
13
Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
These terms are provided as a standard agency template and should be reviewed by your own legal adviser before use.
